History of Business Integration

Nabtesco Corporation was established following the integration of two time-honored companies - Tenjin Seiki Co., Ltd. and NABCO Ltd.

History of Business Integration

Teijin Seiki and NABCO, following the formation of their business partnership in the hydraulic equipment business, came to share the view that business integration would be a very useful tool for helping enhance their corporate value and ensuring sustainable development, while at the same time recognizing each other’s product lineup, core technology, corporate strategy and corporate culture.
Based on this recognition, the two companies established a pure holding company, Nabtesco in 2003, through a stock transfer scheme. Under the holding-company structure, the two companies became its wholly-owned companies. After one-year’s preparation, the holding company absorbed Teijin Seiki and NABCO through a simplified merger method, with Nabtesco shifting to an operating holding company.
In 2004, the two companies were absorbed and merged into Nabtesco Corporation.

Nabtesco Corporation was established as a holding company with Teijin Seiki Co., Ltd. and NABCO Ltd. as wholly-owned subsidiaries and listed on the Tokyo Stock Exchange (First section market).

Nabtesco Automotive Products (Thailand) Co., Ltd. was established as a automotive products manufacturing subsidiary in Thailand.
July, 2004
An agreement to consolidate Teijin Seiki Co., Ltd. and NABCO Ltd. into Nabtesco Corporation was signed during the meeting of the Board of Directors.
October, 2004
Nabtesco consolidated Teijin Seiki Co., Ltd. and NABCO Ltd. and became an operating holding company.
February, 2008
Nabtesco Power Control (Thailand) Co., Ltd. was established (Hydraulic Equipment).
December, 2009
Nabtesco Automotive Corporation established (Commercial Vehicle Equipment Business).
April, 2010
Shanghai Nabtesco Motion-equipment Trading Co., Ltd. was established (Precision Reduction Gears).
January, 2011
Jiangsu Nabtesco KTK Railroad Products Co., Ltd. was established (Railroad Vehicle Equipment).

Nabtesco acquired the automatic door business of Kaba Holding AG of Switzerland and establishes Gilgen Door Systems AG.

History of Teijin Seiki

1944
Separated from parent company (currently Teijin Limited). Originally named Teijin Aircraft Industry Co., Ltd.
1945
Name changed to Teijin Seiki Co., Ltd. began manufacturing texitile machinery.
1949
Listed on the Osaka Stock Exchange and the Hiroshima Stock Exchange.
1954
Established Tokyo branch
1955
Resumed manufacturing of aircraft components.
1959
Began manufacturing of machine tools and industrial machinery.
Established Matsuyama plant (currently TMT Machinery, INC. Matsuyama plant)

Establishment of a joint company, TMT Machinery Inc. with Toray Engineering Co., Ltd. and Murata Machinery, Ltd.
2003
Established a joint holding company, Nabtesco Corporation, with NABCO Ltd. and became a wholly-owned subsidiary. Changed its name to TS Corporation.

History of NABCO

1925
Nippon Air Brake Co., Ltd., was founded at 1-31, Wakihama, Kobe by three companies: Kobe Steel, Ltd., Engine Manufacturing Co., Ltd., Tokyo Gas Electric Industrial Co., Ltd. The company began manufacturing and sales of air brakes for railroad vehicles.
1925
Tokyo Branch (name later changed to Tokyo Office) was established in Chiyoda Ward, Tokyo.
1926
Executive office and plant relocated at 5, Kaigan-dori, Wakihama, Kobe.
1933
Began manufacturing and sales of hydraulic brake systems for automobiles.
1937
Began manufactring and sales of air brake systems for automobiles.
1938
Executive office and plant (Kobe plant) relocated to 3-2058, Wakihama, Fukiai-ku, Kobe (currently 1-46 Kaigan-dori, Wakihama, Chuo-ku, Kobe).
1943
Changed its name to Nippon Brake Systems Co., Ltd.
1946

Head office relocated at Isogami-dori, Chuo-ku, Kobe.
1995
Transferred manufacturing of automatic doors for buildings from Kobe plant to Konan plant.
1997
General Technology Center was built.
1998
Kobe plant was built (Nishi-ku, Kobe); operations of former Kobe plant transferred (manufacturing of brake systems for railroad vehicles).
1999
Transferred hydraulic brake systems business for automobiles and operation of Yokosuka plant, and sold Nippon ABS shares to Bosch Brake Systems Co., Ltd.
2001
Transferred NABCO Mexicana Co. (Mexico) to Robert Bosch Corporation.
2001
Executive office and head office was relocated to Takatsukadai, Nishi-ku, Kobe.
2003
Established a joint holding company, Nabtesco Corporation, with TS Corporation (formerly Teijin Seiki Co. Ltd.) and became a wholly-owned subsidiary.
